No Guarantees & Service Limitations

The website is provided "As is" and "As available" with all faults and defects without warranty. To the maximum extent permitted under applicable law, Modulixo, on its behalf and behalf of its affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, regarding the website, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties that may arise out of a course of dealing, course of performance, usage, or trade practice.

Limitation of Responsibilities

Regardless of any damages you may incur, the total liability of Modulixo and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the preceding shall be limited to the amount paid by you for the website.
To the maximum extent permitted by applicable law, under no circumstances shall Modulixo or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the website, third-party software, and/or third-party hardware used with the website, or otherwise in connection with any provision of this Agreement), even if Modulixo or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Severability of Terms

Suppose any provision of this Agreement is deemed unenforceable or invalid. In that case, such provision shall be modified and interpreted to achieve the objectives of such provision to the fullest extent permitted under applicable law. The remaining provisions shall remain in full force and effect.
This Agreement, the Privacy Policy, and any other legal notices published by Modulixo on the Services constitute the entire Agreement between you and Modulixo regarding the Services. Suppose a court of competent jurisdiction finds any provision of this Agreement invalid. In that case, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such or any other term. Failure by Modulixo to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. You and Modulixo agree that any cause of action arising from or related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Waiver of Legal Rights

Except as explicitly provided herein, the failure to exercise a right or require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time after that, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Suspension & Termination of Use

This Agreement shall remain in effect until terminated by you or Modulixo.
Modulixo may, at its sole discretion, suspend or terminate this Agreement at any time and for any reason or no reason, with or without prior notice.
Upon termination of this Agreement, you must cease all use of the website and delete all copies of the website from your device.
Termination of this Agreement shall not limit any of Modulixo's rights or remedies at law or in equity in case of a breach by you (during the term of this Agreement) of any of your obligations under this Agreement.

Modifications & Amendments

At its sole discretion, Modulixo reserves the right to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. Determining what constitutes a material change will be made at our sole discretion. By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. If you disagree with the new terms, you may no longer use Modulixo.

Entire Agreement Overview

This Agreement constitutes the entire Agreement between you and Modulixo regarding your website use. It supersedes all prior and contemporaneous written or oral agreements between you and Modulixo.
You may be subject to additional terms and conditions when you use or purchase other services from Modulixo, which will be provided at the time of such use or purchase.

Changes & Amendments to Policies

We may update our services and policies and need to make corresponding changes to these Terms to accurately reflect our services and policies. Unless otherwise mandated by law, we will notify you (for example, through our Service) before implementing changes to these Terms and provide you an opportunity to review them before they become effective. By continuing to use the Service after any revisions to the Terms, you agree to be bound by the updated Terms. You may delete your account if you do not agree to the new Terms.

Legal Jurisdiction & Applicable Law

These Terms and Conditions, along with any disputes, claims, or legal proceedings arising from or relating to them, your use of our services, or any contractual or non-contractual obligations related to Modulixo, shall be governed and interpreted following the laws of Poland, without regard to conflicts of law principles that may lead to the application of laws from another jurisdiction.
By using this website and our services, you irrevocably agree that any disputes that are not resolved through arbitration shall be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland.
If you access the website from outside Poland, you do so at your own risk and are responsible for compliance with all applicable local laws in your jurisdiction. Modulixo does not represent or warrant that its website, services, or content comply with legal requirements in locations outside Poland. We reserve the right to restrict access to the website and services in any jurisdiction where such access may be deemed illegal or non-compliant with local regulations.

Dispute Resolution via Arbitration

This section applies to any dispute except for claims for injunctive or equitable relief regarding the enforcement or validity of your or Modulixo’s intellectual property rights. The term "dispute" encompasses any dispute, action, or other controversies between you and Modulixo concerning the Services or this Agreement, whether based on contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable ground. "Dispute" will be construed to have the broadest possible meaning allowable under the law.

How to Notify Us of Disputes

In the event of a dispute, you or Modulixo must provide the other party with a Notice of Dispute, a written statement containing the name, address, and contact information of the party issuing it, the facts underlying the dispute, and the requested relief. You must send any Notice of Dispute via email to info@modulixo.com. Modulixo will deliver any Notice of Dispute to you either by mail to your address, if available, or to your email address. You and Modulixo shall endeavour to resolve any dispute through informal negotiation within sixty (60) days of sending the Notice of Dispute. If no resolution is reached within sixty (60) days, you or Modulixo may initiate arbitration.

Binding Arbitration Clause

Suppose you and Modulixo fail to resolve any Dispute through informal negotiation. In that case, any subsequent attempt to resolve the dispute will be conducted exclusively through binding arbitration, as outlined in this section. You forfeit your right to litigate (or participate as a party or class member) in court by agreeing to arbitration. The dispute shall be settled by binding arbitration following the commercial arbitration rules. Either party may seek interim or preliminary injunctive relief from any court with jurisdiction as necessary to protect its rights or property pending arbitration. The non-prevailing party shall bear all legal, accounting, and other costs, fees, and expenses incurred by the prevailing party.

Miscellaneous Legal Terms

If, for any reason, a court of competent jurisdiction finds any provision or portion of these Terms and Conditions unenforceable, the remainder of these Terms and Conditions shall remain fully enforceable. Any waiver of these Terms and Conditions provisions shall be effective only if made in writing and signed by an authorised representative of Modulixo.
Modulixo shall be entitled to injunctive or other equitable relief (without the obligation of posting any bond or surety) in the event of any breach or anticipatory breach by you. Modulixo operates and manages the Modulixo Service from its offices in Poland. The Service is not intended for distribution or use in any jurisdiction or country where such distribution or use would be contrary to law or regulation.
These Terms and Conditions (including the Modulixo Privacy Policy) represent the entire understanding and supersede all prior understandings between you and Modulixo regarding their subject matter and cannot be altered or modified by you.

Liability & Legal Disclosures

Modulixo assumes no responsibility for any content, code, or inaccuracies. No warranties or guarantees are provided. In no event shall Modulixo be liable for any special, direct, indirect, consequential, or incidental damages, whether in contract, negligence, or other torts, arising out of or in connection with the use of the Service or its contents. Modulixo reserves the right to add, delete, or modify the contents of the Service at any time without prior notice.

User Feedback & Improvement Suggestions

Any feedback, comments, ideas, improvements, or suggestions (“Suggestions”) provided by you to Modulixo regarding the website shall remain the sole and exclusive property of Modulixo.
Modulixo shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any manner without providing any credit or compensation to you.
